Leadership Responsibility & Authority

This page clarifies how organisational authority is intended to be exercised. It does not attempt to eliminate statutory director or officer liability. Applicable South African law and formally adopted governing documents take precedence.

Individuals may only bind Lengau People's Society within their authorised powers.

Personal opinions are not automatically organisational positions.

Unauthorised commitments do not automatically constitute approved organisational commitments.

Material decisions should follow applicable approval processes.

Conflicts of interest must be disclosed. See Conflict of Interest.

Records of material decisions should be maintained.

Directors and officers remain subject to their statutory and fiduciary responsibilities. Nothing on this website excludes, limits or waives those duties except to the extent the law itself permits.
